1. Who you're agreeing with
You are entering into this agreement with PanelOrca, an independent remote-first project, reachable at hello@panelorca.com. We are in the process of formalising the operating entity; these terms will be updated when that happens.
2. What you get
- A SketchUp extension for parametric cabinet design
- A cloud account at app.panelorca.com for syncing projects, libraries, and collaborating in an organization
- Software updates through the in-extension auto-update channel
During the current phase, all features available to you are free for personal and commercial use, subject to the limits in Section 4. We may introduce paid plans for higher tiers in the future, with prior notice.
3. Your account
- You must provide a valid email and a password, or sign in with Google
- You're responsible for keeping your credentials secure and for everything done under your account
- One account per person — don't share login credentials. Use organization invitations to bring teammates in
- You must be at least 16 years old (or the age of digital consent in your country)
4. Fair use during the free phase
While we're in the free phase, "fair use" means roughly:
- Up to 3 active projects per organization
- 1 owner + reasonable members per organization (we may apply soft limits later)
- Reasonable file sizes and API call volumes
We may contact you and ask you to reduce usage if you exceed fair-use thresholds. We will not suddenly suspend a project without notice unless required for security.
5. What you may not do
You agree not to:
- Reverse-engineer, decompile, or attempt to derive source code from the closed parts of the product, except where Thai or applicable law allows you to
- Use PanelOrca to design or manufacture items that infringe third-party intellectual property
- Resell, sublicense, or rebrand PanelOrca without a written partner agreement (these will be available later in our agent program)
- Attack the service — including DDoS, port scanning, attempted intrusion, brute-force authentication, or scraping at a rate likely to degrade the service
- Upload malware or use the file-sharing features to distribute illegal content
- Probe or exploit security holes without responsibly disclosing them to hello@panelorca.com
- Use the service in a way that violates applicable export-control, sanctions, or other laws
We may suspend or terminate accounts that violate these rules.
6. Your data and IP
- You retain ownership of every project, model, BOM, design, library entry, and label you create
- You grant us a limited, non-exclusive licence to store, process, transmit, and display your data only as needed to operate the service for you
- We do not claim rights to your work, will not use it to train external AI models, and will not share it with third parties except as needed to run the service (e.g. our database host)
- You can export and delete your data at any time
7. Our IP
The PanelOrca name, logo, source code, design assets, documentation, and the underlying software are owned by us. We grant you a limited, non-exclusive, non-transferable licence to use them for their intended purpose — designing furniture and running your manufacturing workflow. You may not redistribute the extension installer or the cloud assets.
8. Third-party services
To run the service, we rely on third parties — including SketchUp (Trimble) as the host environment for the extension, DigitalOcean for hosting, Cloudflare for DNS and email routing, Resend for transactional email, and Google for Google OAuth sign-in. Your use of PanelOrca through these channels is also subject to their respective terms.
9. Availability and changes
- We aim for high uptime but provide no Service Level Agreement during the free phase
- We may add, change, or remove features. Significant breaking changes will be communicated by email when feasible
- We may schedule maintenance windows, typically during low-traffic hours
10. Termination
- You may stop using PanelOrca and delete your account at any time
- We may suspend or terminate accounts that breach these terms, abuse the service, or remain inactive for an extended period — with reasonable notice where feasible
- On termination, you have 30 days to export your data before it is permanently deleted
11. Warranties and disclaimers
PanelOrca is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Manufacturing disclaimer. PanelOrca generates BOMs, cut lists, NC programs, and label data based on your input. You are responsible for verifying every output before committing materials, running CNC machines, or making manufacturing decisions. Always validate dimensions, tooling, and machine code with a dry run before production. We are not liable for material waste, broken tooling, or other manufacturing losses.
12. Limitation of liability
To the fullest extent permitted by law, our aggregate liability arising out of or relating to PanelOrca is limited to the amount you have paid us in the 12 months preceding the claim — which, during the free phase, is zero. We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, business interruption, or data loss.
13. Governing law and disputes
These terms will be governed by the laws of the jurisdiction in which the PanelOrca operating entity is established once formal incorporation is complete. Until then, disputes will be addressed in good faith between the parties. When the operating entity is incorporated, this section will be updated to specify the governing law and venue, and active users will be notified.
14. Changes to these terms
We will update these terms as the product and our company evolve. The effective date is shown at the top. For material changes, we will notify active users by email. Continuing to use the service after a change means you accept the updated terms.
